Terms of Use

The rules for using nvil.co, its free tools, NVIL Trades, NVIL Sign, and the arcade. Plain English, and shorter than most.

The short version. nvil.co and its free tools are provided as they are, to help you plan and learn. NVIL Trades is education, not financial advice. Blueprint and the plan finder give estimates, not quotes. Work we do for you is governed by the agreement you sign, and if anything here conflicts with that agreement, the agreement wins.

Agreement to these terms

These Terms of Use are an agreement between you and NVIL (New Vision Interactive Labs), a web development studio in Chicago, Illinois. By using nvil.co, or any tool that runs on it, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the site.

Design, development, SEO, and care plan work is governed by a separate written agreement between NVIL and the client. Where that agreement and these terms differ, the agreement controls.

Using the site

  • Use the site lawfully and for its intended purposes. Do not attempt to break, overload, probe, or gain unauthorized access to it, its functions, or the services behind it.
  • Do not scrape, copy, or republish the site or its tools, in whole or in part, without written permission.
  • Where a tool offers an account (the client portal), give accurate information, keep your credentials private, and accept responsibility for what happens under your account. We may suspend or remove accounts that break these terms or abuse a service.
  • Submitting a form does not create a contract for services. Work begins only when both sides sign an agreement.

Free tools and estimates

Free website audit. The audit runs automated checks against the address you enter at the moment you run it. It is a starting point for a conversation, not a complete or guaranteed assessment of any website, and results can change from one run to the next.

NVIL Blueprint. Blueprint is a planning aid. The architecture, recommended starting point, and timeline it produces are estimates generated from your answers. They are not a quote, a proposal, or a commitment to build. Final scope, price, and timeline are confirmed after project review and set out in a written agreement.

Plan finder. The plan finder suggests a plan based on your answers. It is guidance only.

Pricing on the site. Plan prices shown on nvil.co are current list prices and may change. A written quote or signed agreement always controls the price of any work.

NVIL Trades: educational content only

Nothing on NVIL Trades is financial advice. The lessons, charts, simulators, quizzes, and examples are for education and general information only. They are not investment, financial, tax, or legal advice, not a recommendation or solicitation to buy, sell, or hold any security, option, or other instrument, and not an offer of any product or service.

  • NVIL is a web development studio. NVIL is not a registered investment adviser, broker-dealer, financial planner, or exchange, and nobody at NVIL is licensed to give you personal financial advice.
  • Trading stocks, options, and penny stocks involves a substantial risk of loss. You can lose some or all of your money, and with some options strategies you can lose more than you put in. Most new traders lose money.
  • Charts, price data, and simulator results on NVIL Trades are illustrative, simplified, delayed, or hypothetical. Hypothetical results have limits: they do not reflect real trading costs, slippage, taxes, or emotions, and they are not a promise of future results. Past performance never guarantees future performance.
  • Any securities, tickers, or strategies mentioned are examples used to teach a concept. Mentioning them is not an endorsement.
  • You alone are responsible for your trading and investment decisions. Before acting, do your own research and consult a licensed financial professional who knows your situation.
  • NVIL accepts no liability for any loss or damage arising from reliance on anything in NVIL Trades.

Electronic signatures

NVIL Sign lets you review and sign agreements with NVIL electronically. By ticking the consent box and signing, you agree to do business with NVIL electronically and you agree that your electronic signature has the same legal effect as a handwritten one, under the federal Electronic Signatures in Global and National Commerce Act and Illinois law. We keep a record of each signing, including the time, IP address, and browser, so the signature can be verified. You may request a paper copy of any signed agreement at any time by emailing contact@nvil.co. If you prefer to sign on paper, tell us before signing and we will arrange it.

Client portal and AI drafts

The client portal drafts replies to reviews using an AI service. Drafts are suggestions. You are responsible for reading each draft, editing it as needed, and deciding whether to post it. NVIL does not post anything to Google or any other platform on your behalf. You are responsible for complying with Google's terms and policies when you use your Business Profile with the portal, and for the accuracy of anything you publish. AI drafts can be wrong, so never post one without reading it.

The Lab Arcade

The Lab Arcade games are free entertainment. Points and scores have no real-world value. We may change games or remove them at any time.

Intellectual property

The site, its design, code, text, images, lessons, games, tools, and the NVIL name and mark belong to NVIL or its licensors and are protected by copyright and trademark law. You may view and use the site for your own personal or business evaluation purposes. You may not copy, modify, distribute, sell, or create derivative works from any part of it without written permission. Ownership of work NVIL builds for clients is set out in each client agreement. If you send us ideas or feedback, you agree we can use them without any obligation to you.

Third-party services

The site relies on third-party services such as hosting, analytics, email, database, and AI providers, and links to sites we do not control. We are not responsible for their content, availability, or practices. Your use of them is governed by their own terms.

No warranties

To the fullest extent permitted by law, nvil.co and everything on it, including the free tools, NVIL Trades, the arcade, and any results they produce, are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise that the site will be uninterrupted, error-free, or secure, or that any result will be accurate or useful for your purposes.

Limitation of liability

To the fullest extent permitted by law, NVIL and its owner, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the site or its tools, even if we were told such damages were possible. Our total liability for any claim related to the site or its free tools will not exceed one hundred US dollars. Liability for client work is governed by the client agreement. Some jurisdictions do not allow some of these limits, so some of them may not apply to you.

Indemnification

You agree to defend and hold NVIL harmless from claims, losses, and expenses, including reasonable legal fees, that arise from your misuse of the site, your breach of these terms, or content you submit through the site or the portal.

Governing law and disputes

These terms are governed by the laws of the State of Illinois, without regard to its conflict of law rules. If you have a dispute with us, email us first and we will try to work it out informally within 30 days. If we cannot, the state and federal courts located in Cook County, Illinois will have exclusive jurisdiction, and you consent to their jurisdiction. If any part of these terms is found unenforceable, the rest stays in effect.

Changes and contact
